Excellent question!! It is short for a "Quality of Earnings" and is meant to provide deeper financial, accounting and business insights to deal participants during a transaction. A QoE is different from a financial audit and provides useful insights due to the fact that it is:

  • Prepared on a monthly basis, including drill down on the trailing twelve month ("TTM") period
  • Evaluates cash v non-cash (GAAP) accounting impacts
  • Assesses results for sustainability
  • Evaluates whether certain items of income or expense are unusual, 1-time, or non-recurring in nature
  • Assesses whether items of income or expense are core operational in nature

As no two deals are alike, it's difficult to answer 'the $64,000 question': "how much is it going to cost?" However, given my low overhead and scale model, I can assure you it will definitely be less than the top 50 CPA and advisory firms. If you don't need a brand name CPA firm report, Pinnacle is your solution. 


Based on my history in providing QoE solutions over the past 15 years, rough estimate of cost is disclosed below. Understand that with deal complexity (up or down) and other transaction nuances, cost may run higher or lower. Having said that, see below for rough estimate of cost for a standard 1-3 business unit/location enterprise.

  • Cash proof of revenue and expenses - $5,000 - $7,500
  • Red Flags Assessment (1-2 page key issues memo w key schedules)  - $10,000
  • QoE Lite MS Excel Databook - $25,000 - $35,000
  • QoE Report (w  MS Excel Databook) - $35,000 - $55,000 
  • Ad hoc services - $325/hour (can be discounted depending on suite of solutions)
